I guess it really depends upon your needs but there is one good reason I can 
think of which may not be at first apparent.

Apple recently changed their security layer so that they can more easily rebut 
security threats.  This is an under the hood kind of reason, but all the same.  
That said, others are fulfilling my pre-release prediction with their outcries 
regarding things like Mail.  So in a nut shell, if you want to stay current, 
and if you don't mind a bit of change, upgrade.  If, on the other hand, you're 
more happy with what you have, then stick with it.

There are several under the hood changes though to Mountain Lion designed to 
make life easier regarding integration with iCloud and mobile devices.
