Hi Dave,
You do not have to do anything special before upgrading. When you run  
the version 2 installer, it automatically removes version 1.
Also, after installing version 2, you may get a message from within  
windows to install a newer version of vmware tools. Aside from that,  
everything should go smoothly without any other steps.
