How many lists are you converting over? If it's just a few, then it is easy to simply recreate the list in version 2.1 and then export/import the users email addresses once all the 2.1 lists are up and running properly.
In any case, I would recommend that you do start out small - move one or two lists over to a Mailman 2.1 install.
