I highly recommend trying the latest win32 make from the MinGW site (http://downloads.sourceforge.net/mingw/mingw32-make-3.81-20080326-2.tar.gz) that includes several patches from Eli, one of which addresses the CreateProcess issue. If you wish to compile it yourself, the source is also available (http://downloads.sourceforge.net/mingw/mingw32-make-3.81-20080326-src.tar.gz).
