Fleximap works quite wellfor rubber-sheeting . Look for it at Christian
Singer's web site at:
http://www.icsinger.de/flxmap_e.htm 

To my knowledge the true polyconic projection is not supported by MI. That
used to be the projection of USGS quads pre 1957. if that is really your
projection you will have to reproject outside of MI. Check your e00 by
searching it in word for prj.
