I would put up a non-prod environment and test moving over your management packs there first and see if anything breaks before moving them to your 2012 prod environment. You can dual home a few test agents going against your non-prod environment.
I would personally install the latest version of any management pack available on the new 2012 environment and then try and move over your override and custom management packs. But again, I would move your custom and override management packs to a non-prod environment first if you have the time.... In general - "it depends". It depends on MANY factors. There are pro and con to both directions. Every customer deployment is different. GENERALLY speaking - once you lay out the pro and con, most customers choose to do a side by side migration to 2012 from 2007R2, because of the reduced risk.... But each customer has to consider these and make their own decision.
