You may freely distribute Myodbc.dll.
I got this information from Mysql Devepolment Team.
You may include myodbc.dll in your distributing project.

First question's answer is : (not sure 100%)
I think you have to distibute mysql directory.
Especially you are using extra character set.
But if you are using this software for commercial use
you have to pay license fee of mysqlserver.
