Never tried it with version 3 only 4.1 but it has a --compatible switch with a version 3.23 switch see command line --help so I assume the mysql guys are allowing you to dump 3.23. Try dumping it without the switch as you will be restoring to 5.0. The idea is to make sure the restore is done using a version 5 compatible dump.
