I actually upgraded from Max-3.23.51 to the 4.0.2
server.  The only way I could get it to start was to
comment out all of the innodb variables in the my.cnf
file.  After it started I noticed that InnoDB was
disabled when I typed:
show variables like "have_%".

The contents of the my.cnf file:
[mysqld]
innodb_data_home_dir = /
innodb_data_file_path = ibdata/ibdata1:500M

set-variable = innodb_buffer_pool_size=32M
set-variable = innodb_additional_mem_pool_size=20M
innodb_log_group_home_dir = /var/lib/mysql

innodb_log_arch_dir = /var/lib/mysql
innodb_log_archive=0
set-variable = innodb_log_files_in_group=3
set-variable = innodb_log_file_size=16M
set-variable = innodb_log_buffer_size=2M

innodb_flush_log_at_trx_commit=1

set-variable = max_connections=20
set-variable = innodb_file_io_threads=4
set-variable = innodb_lock_wait_timeout=50
set-variable = record_buffer=1M
set-variable = sort_buffer=1M

default-table-type=InnoDB

# Do not load support for Berkley DB tables
skip-bdb
