Should I send this problem as BUG?
Any Suggestion/HELP!!!

Refer to http://www.mysql.com/doc/en/Upgrade.html. There are quite a few tasks you need to perform to upgrade, like changing privilege tables. The above link gives the steps that need to be performed for upgrading to a later version
