Yup. Took ownership, added my account to full control. There's an EXE in the 
folder that I can rename but not delete either. Process Monitor does not show 
it in memory (It's a Nagios agent EXE).

AH HA!!!! It's because I was RDP'd!!!

Hit the console itself and it works

Did you apply perms after taking ownership? Ownership alone won't do it, but
