If you haven't opened it then you haven't agreed to anything. Assuming no
other agreement in place with Microsoft then it is an item in your possession
that can be sold. IANAL etc but contracts don't just spring into existence out
of thin air, they have to be agreed to by both sides. The EULA is for the
eventual end user to worry about.
