If the company that originally published it isn't around any more you
may be safe, but then again, you may not be. Even if you don't make any
money at all, it is still copyright infringement, and if they can show
that you have done anything to cause "damage" (monetary or otherwise),
you can be sued. You are probably better off just doing the conversion
and using it yourself or if someone else you know (friends or
acquaintances) want's to, give them the info. But if you post it for
free on the internet, then you are taking a risk.
Something that you may want to consider is to "re-write" the setting
material (make appreciable changes), alter the way the material is
presented, change the format and also use D20 (tweaked to fit your
needs) or your own home brewed rules (although D20 will gain you a much
larger audience). And whatever you do, don't use any trademarked names
or anything else that is or contains "product identity" of the original
game, thus use a different name for it. Basically what I am saying here
is to use the original only as an idea from which to build your own
ideas.
