My guess is that the shutdown script doesn't exist.

Does the file "/etc/vmware-tools/poweroff-vm-default" exist?

If it exists, does it work when you run (i.e., is the exit status 0)? If it
doesn't, what's the error?

If it doesn't exist, you can either add an empty script, or disable the power
off script using the "vmware-toolbox-cmd" command line tool. The "make install"
target, as far as I can tell, should have installed our default script there.

Also the contents of your /etc/vmware-tools/tools.conf would be useful, if it
exists.
