Hey Duncs,

I verified that I did have the SMP kernel. But that was not it. Finally after 
messing with the VM it was related to the /boot/grub/menu.lst file which had 
"nosmp" command passed to the kernel. as soon as removed that command and 
rebooted the machine i was able to see the CPUs. you can keep that for the 
records in case some one else needed it.
