Dave,
Error 12540 can be raised due to a number of issues. If you have access to
Metalink you will get quite a few documents describing it. Are there any
other databases on the server. If so, and if it is possible to shutdown any
on those, please do that, and then try to start your database. If it starts,
then the problem is related to kernel resources on the server. And those
documents from Metalink would of help. 
License High Water mark shows the max number of concurrent connections the
database had before it was shutdown. It is also reported by the v$license
view.
