ORA-01031 error

Hi all,

I tried to connect to a remote database running Oracle 9.2.0.1.0.
from my Oracle Client (SQL*Plus) which is of version 8.0.5.0.0 as
SYS. I get an error message :-

ORA-01031 : Insufficient Privileges

I tried using Password file as well, but in vain...

Could someone help me in this regard.
