When I had this problem, it was due to a problem with the driver for my gigabit network card. The driver had a problem transmiting packets of a type that are only used by certain network processes (UDP I think it was), including TFTP.
When I switched to a different driver that was more fully featured, the boot process worked fine. Have you tried using the floppy boot option? It works beter than PXE for some network cards. I was using 3com 2000T cards.
