Ajay,
The HTML code is in both cases indeed the same - printing an invisible menu to 
the page. What you are probably missing in the 2010 version is the javascript 
that makes the menu visible.

Subject: ECB menu not showing on upgraded site

Hi All,

I have upgraded a SP2003 site to SP2010.

2003 site had a ECB menu which didn't make it to the upgrade.

I create a feature with ECB code and deployed it to upgraded site; but does not 
display on the upgraded site.

If deploy same feature to another 2010 site and ECB menu displays.

Has anyone seen this scenario.

I have also checked with turning the Visual Upgrade On but no difference.
