No debate:

The FA35/2 AL is a superb lens, a perfect match for a normal with the DSLRs, and nearly as good as the FA31 Limited for one-third the price. It's also half the size/weight of the 31Ltd.

The DA40/2.8 is a novelty item ... a very nice lens too, but not as useful/flexible/excellent as the FA35.

I'd sell the older lenses and buy an FA35/2. It's a better lens in my opinion.
