HERITAGE OIL CORPORATION
Heritage Oil Corporation is a Canadian-based independent, international oil and gas exploration, development and production company. The Company’s principal producing properties are in Oman. Heritage has a 95% interest in a development project in Russia, which has proven and probable reserves of 69 million barrels net to Heritage. Heritage has an exploration project in Uganda. In June 2006, the Company signed an agreement to sell its Congolese assets for over US$28 million.

K Petroleum Company, a subsidiary of Heritage, has entered into two Memoranda of Understanding (“MOUs”) with the Oil, Gas and Petrochemical Establishment of the Government of Kurdistan, Iraq to undertake field studies over an area exceeding 1,300 square kilometres. Fieldwork commenced in January 2006 and negotiations are underway to convert the MOUs to Production Sharing Agreements.

Heritage has a 50% interest in two exploration licenses in Uganda. The Kingfisher-1 well is expected to spud this summer in block 3A. Exploration prospects have improved substantially following the completion of the Waraga-1 well test in Block 2 in July 2006, which lies immediately north of Heritage’s permit. The well test produced an aggregate maximum flow rate of 12,050 bpd from three zones.

Heritage Middle East Limited, a wholly-owned subsidiary of Heritage, continues to enter into negotiations with the Ministry of Oil in Baghdad to obtain MOUs to undertake exclusive detailed field studies and to prepare development plans over a number of oil fields.

Heritage is looking to expand its operations in Russia through the acquisition of a number of similar-sized development licenses in Russia and Kazakhstan.

The Company’s producing, development and exploration projects, together with potential opportunities, provide a combination of early cash flow and longer term value creation opportunities.

The Company’s shares trade on The Toronto Stock Exchange, or TSX, under the symbol HOC.
