Anyway, here's my workaround with this Intel Server Board STL2, the BIOS uses ACPI, 
according to the documentation of
linux kernel (/usr/src/linux/Documentation/pm.txt) the ACPI is a replacement for APM.  
even I execute halt or
poweroff it will never turn off the server.
I visited http://acpid.sourceforge.net and downloaded the acpid and the acpica, 
according to them, acpi of kernel 2.4
is still in developement so they have (i think a rewrite) acpi driver in order to have 
a power management in the
latest kernel.  Their latest acpica source is with linux-2.4.10
and now i can exec `#poweroff` turn off this server.
