Sytze,
The proper place to install this file would be the %windir%\SysWow64 folder.
I use the Inno installer and this works for me:
Source: "System\mscomm32.ocx"; DestDir: "{sys}"; Flags: sharedfile
onlyifdoesntexist regserver noregerror
