The only difference I can see is when the modules are loaded. if you out them in rc.local they will not be loaded untill all services have been, or at least tried to have been, started. modules.conf stuff is at the beginning of the boot sequence. So if you have services that relay on the modules being there you might have problems with them if you don't load them until rc.local.
