Tag&Rename should do it, along with MP3Tag (doesn't just do MP3s these days). There are a lof of others too. Have a look at the Wiki (http://wiki.slimdevices.com/) there is quite a bit of info there.
The not sure about progs that will encode to FLAC and preserve your file system, i've never needed to do that.
