I'm so glad, I have had exactly the same problem for some time and now
I just found a permanent solution! You should replace the file ID3v2.pm
in directory \flac2mp3-0.3.0rc1\lib\MP3\Tag with the latest version,
v0.9709. I bet you have version v0.9708 (the one shipped with
flac2mp3).

(I'm not sure if I'm allowed to post links in this forum, but just

and you will find a link to the latest version in the CPAN library. 

Most likely you have edited or just rewritten the ID3v2 tags of at
least one of your MP3 files in the destination directory using tagging
software set to write UTF-16 tags. Mp3tag (default setting = UTF-16) or
foobar2000 (compatibility mode) per chance?

The error occurs inside module ID3v2.pm v0.9708 when flac2mp3.pl calls
a subroutine to read the tags of the destination files. (It has nothing
to do with the FLAC file tags.) There are also programs which not
produce this error while writing UTF-16 coded tags, such as Tag&Rename
3.4, dBpoweramp 12.4, EasyTAG 2.1. Well, if you upgrade you don't have
to care about this, it works fine with all the mentioned programs. 

You could of course also rewrite the tags of all your destination MP3
files in Latin1/ISO-8859-1 or ANSI format. (Look for the advanced
setting in your tagging software of choice. I can recommend Mp3tag
v2.39, it is very  flexible in this respect.) That will help, but is no
permanent solution. (Upgrade, upgrade...!)
