Bumi Resources Must Prove Acquisitions Not Material
Senin, 12 Januari 2009 18:43:54 StockWatch (Jakarta) - The Capital Market and Financial Institution Supervisory Board (Bapepam LK) has challenged PT Bumi Resources Tbk (BUMI) to prove that the company's plans to acquire other companies are not material transactions. "We will ask Bumi Resources' management to come here and explain about the company's plans to acquire several companies with total value of IDR6 trillion," Bapepam chairman Fuad Rahmany said after a seminar themed "Principle for Responsible Investment" held on Friday (9/1) in Jakarta. Reports said earlier quoting Bumi Resources' management that the company has planned to carry out aggressive acquisitions by purchasing indirectly 44% stake of PT Darma Henwa Tbk (DEWA) for US$218 million, purchasing 75.7% stake of PT Fajar Bumi Sakti for US$224 million and 84% stake of PT Pendopo Energi Batubara for US$119 million or totally US$561 million. Commenting on the acquisition plans, Rahmany said Bumi Resources' management has to prove during the meeting with Bapepam that all of the acquisitions are not material transactions. "We have met with Bumi Resources' management for once, in which the management handed over the required documents. We're going to examine the documents," he said. According to him, Bumi Resources' management did not make an explicit statement that the acquisitions are not material transactions. What they had done, Rahmany said, was announcing through the media that they will carry out some acquisitions. "We have to seek clarifications, because the transaction value is relatively high," he added.
