FORMER Leeds United and Barnsley chairman Peter Ridsdale has hinted he 
may take legal action over advice he received after being disqualified 
from acting as a company director for seven-and-a-half years.


Mr Ridsdale also vowed to continue in his current role as chairman of 
football at Preston North End.


His disqualification as a company director was announced yesterday after 
an investigation by the Insolvency Service into his role as a director 
of his consultancy business WH Sports Group.


In a statement issued through Preston North End, he said: I can confirm 
that I have agreed a voluntary undertaking not to act as a company 
director as a result of ongoing issues with a personal matter which 
occurred in 2009.


“I am currently undertaking a role of ‘Chairman of Football’ at Preston 
North End but am not a director nor at any time have I sought to be one.


“The issues that have brought about this voluntary undertaking are 
currently in the hands of my lawyers who are dealing with all 
outstanding issues including the professional advice that was given to 
both myself and my personal company at the time.”


Leeds United enjoyed one of its most successful periods under his 
tenure, including reaching the Champions League semi-finals.


He has consistently argued that criticism aimed at him by fans in 
relation to the club's subsequent financial difficulties was unfair.

Peter Ridsdale, the former chairman of Leeds United, Barnsley and 
Cardiff City football clubs, has been disqualified from acting as a 
company director for seven-and-a-half years, following an investigation 
by Company Investigations team in Manchester, part of The Insolvency 
Service.


Mr Ridsdale, 60, of Carnforth, Lancashire, has given an undertaking to 
the Secretary of State for Business, Innovation and Skills (BIS) barring 
him from acting
as a company director, and from managing or in any way controlling a 
company, from 19 October 2012 to 18 April 2020, due to his conduct as a 
director of W H Sports Group Limited (WHSG).


Sophie Victoria Ridsdale, 45, Mr Ridsdale’s wife and co-director of 
WHSG, has also been disqualified after providing a similar undertaking 
which will run for three-and-a-half years from 19 October 2012 to 18 
April 2016.


Investigators found that WHSG traded from 2003 to 2007 and was used by 
Mr Ridsdale to provide sports and leisure consultancy services to 
football clubs. .


The company went into liquidation on 22 April 2009 with assets of 
£22,592 and liabilities of at least £478,698, including £442,353 owed to 
HM Revenue  Customs (HMRC).


In signing the undertaking, Mr Ridsdale did not dispute that:

· Between May 2007 and March 2009, he acted improperly and in breach of 
his duties to WHSG by causing payments totalling £347,000, received for 
invoices raised by WHSG for services provided to a football club of 
which he was the Chairman, to be paid into personal bank accounts held 
in his own name, to the detriment of WHSG and its creditors.


· He also failed to disclose the relevant transactions to the liquidator 
of WHSG, who did not become aware of them until July 2010 when 
information was provided by the football club.


· He failed to ensure that WHSG complied with its statutory obligations 
to make Corporation Tax, PAYE and National Insurance Contributions(NIC), 
and VAT,
returns and payments to HMRC as and when they were due. At liquidation 
WHSG’s liabilities included £166,421 in unpaid Corporation Tax, 
£102,279, in unpaid PAYE and NIC, and £173,653 relating to unpaid VAT.


· He failed to ensure that WHSG complied with its statutory obligations 
to prepare
and file accounts with the Registrar of Companies by the due dates for 
three successive accounting periods.


Commenting on Mr Ridsdale’s ban, Claire Entwistle, Director of Company 
Investigations North at The Insolvency Service, said:


“As someone who has had many directorships, Mr Ridsdale ought to be 
aware of the responsibilities that come with such a position.


The protection of limited liability is available to those who comply 
with their obligations as company directors. If those obligations are 
ignored, the protection will be withdrawn, as Mr Ridsdale has found to 
his cost.


“One of the main purposes of the Company Directors Disqualification Act 
is to ensure that proper standards of conduct of company directors are 
maintained, and these disqualifications should serve as a reminder that 
The Insolvency Service will investigate unacceptable conduct and deal 
robustly with directors who harm creditors by using unacceptable 
financial practice. “

We could argue, perhaps, that there is one set of rules for the well-to-do 
and another for the rest of us. Peter Ridsale, latterly of Leeds United, 
Barnsley, Cardiff City, Plymouth Argyle and currently at Preston North 
End, has been disqualified from acting as a company director for seven-and-
a-half years following an investigation carried out by Insolvency Service 
into the collapse of into the collapse of his company WH Sports Group 
Limited (WHSG), which provided sports and leisure consultancy services to 
football clubs from 2003 on. This company collapsed into administration in 
2009 owing almost GBP478,698, of which the overwhelming majority – 
GBP442,353 – was owed to HMRC in form or another. If that money had, say, 
been illegally claimed in benefits, the guilty party would probably 
looking at a lengthy jail term for his actions. Tax and insolvency law, 
however, are different.

The findings of the investigations – and the below is a list that was not 
disputed by Ridsdale himself – ran as follows:

Payments totalling GBP347,000 for services provided by WHSG to a football 
club at which he was chairman, being paid into his personal bank account 
between May 2007 and March 2009 instead of to the company’s account.

Non-disclosure of relevant transactions to the company’s liquidator, who 
was subsequently told of these transactions by the football club itself.

Failure to ensure that tax payments were made by the company. Unpaid tax 
at the time of the liquidation of WHSG included GBP166,421 in corporation 
tax, GBP102,279 in income tax and national insurance, and GBP173,653 in 
VAT.

Failure to make sure the business filed accounts with Companies House on 
three consecutive occasions.

As we can see, this is a report the findings of which hardly paint his 
actions in a very favourable light. Indeed, Claire Entwistle, the Director 
of Company Investigations North at the Insolvency Service, commented 
that, “As someone who has had many directorships, Mr Ridsdale ought to be 
aware of the responsibilities that come with such a position.” In addition 
to Ridsdale’s disqualification, his wife Sophie has also been disqualified 
from acting as a company director for three and a half years from 19 
October 2012. It is a squalid story in some respects, but this, we might 
ponder, is very much the nature of business these days. What, though, of 
his continuing in football?

Ridsdale was appointed as the “Chairman of Football” – one might even 
suspect that today’s eventualities could easily have been the reason 
behind why he was given such an unusual title in the first place – at 
Preston North End in December 2011, and it is claimed that the “of 
football” aspect of this appointment, along with his claim to have 
informed the Football League of the events which came to pass today, will 
protect his position at Deepdale, though it is also worth noting that, 
apart from having a “Chairman of Football”, Preston North End doesn’t have 
a “Chairman.” The question of what the Football League or the Football 
Association might make of it all, however, has not yet been answered by 
the authorities. The club itself has, at the time of writing, yet to issue 
a public statement on the subject beyond stating that “We are aware of it 
but cannot say anything at the moment”, but the Football League has 
confirmed that it is to investigate his position, presumably with a view 
to establishing how his continuing position at the club levels with the 
Football Associations Fit  Proper Persons Test. The Football League’s own 
regulations on the subject have this to say on the subject of what 
constitutes a Director: ‘Club Director’ means in respect of any Club any 
individual Person (and not any Entity) operating the powers that are 
usually associated with the powers of a director of a company incorporated 
under the 2006 Act (as a Company limited by shares or by guarantee). 
Without prejudice to the generality of the foregoing, the following 
individuals shall be deemed to qualify as a Club Director:

(g) a person in accordance with whose directions or instructions the 
persons constituting the management of the Club are accustomed to act;

(h) a person who exercises or is able, legally or beneficially, to 
exercise Control over the affairs of the Club

So, Part G above seems to clarify that merely being listed at Companies 
House as a director of a football club doesn’t mean that an individual 
shouldn’t be treated as one if they are effectively acting as one. The 
Football Association, for its part, specifically describes three types of 
Company Director in its publication, “A Guide To Directors’ Duties And 
Obligations”: 

Executive Director: this is a director who carries out executive functions 
within the Company (for example as the Chief Executive Officer or Chief 
Financial Officer) and is usually a
