Hi Alpesh, You can import user profiles from AD using the user profile import task but as for creating audiences you may have to do the following:
1) Create a workflow to do it for you 2) Create a powershell script to perform this task? (I will be working on some nice SharePoint powershell stuff when i get back from holidays) Hope that this helps out a bit....
