In the menu under:
 Options - Preferences - System - Mail Directory
you will find the location of the mail directory, copy that with all
subdirectories to the new pc.
After you've done that you install TB (not the other way around like
you suggested)
When TB runs it'll ask you whether you want to restore a backup or
create a new account, go for a new account, you'll be prompted for a
mail directory and you select the path you copied your old mail
directory (that doesn't have to be the same path as on your old pc)
Next you give the name for your new account, that will be the same
name as it has on the old pc, TB will recognize the existing folder
structure.
If necessary do this for every existing account.

I realise that Roelof has already replied, but I would do it
completely differently from what he suggests and have also gone
through the steps recently, moving TB! to a new computer:

1.) Make a full backup of TB! using the internal backup function.
Click all options under Tools / Backup.

2.) A file *.tbk will be created. I copied mine onto a USB stick.

3.) On the new computer, install TB! from the *.msi file you have.
During the unstallation process, you will be asked whether to create a
new account or restore from backup. Choose restore, and point to the
file that is on your USB stick (which you will have plugged into your
new computer by now).

4.) TB! launches, all your mails, folders, filters, settings, bells
and whistles, are as they were on the old computer.

Don't worry about creating directories and copying registry keys.
Backup-restore does this automatically.

You are using the 4.0.24 final beta. ;-)

I do not have enough time to revert to this version 4.0.24 to try it
out, but you my consider to try one of the newer versions. 4.0.24.23
seems to be quite usable.
