[Wikimedia-l] Fwd: Annual Report and elections for Wikimedia Portugal

Dear all,

Last Sunday, Wikimedia Portugal held an online only General Assembly where
we approved last year's activity and financial report (in Portuguese:
https://pt.wikimedia.org/wiki/Relat%C3%B3rios/Anual/2019; English
translation will follow). We usually have a physical location where
participants meet, and others can join through video-conference, but due to
restrictions of public gatherings issued by the health authorities and the
health risks involved we held a fully online General Assembly.

We also held our biennial election, which elects our governing bodies:
Board of directors, General Assembly Table and Audit Commision. The only
change from the previous composition is that Miguel Correia
(user:Miguelmcorreia) was elected as secretary of the General Assembly
Table. Miguel is a librarian previously at the National Library of
Portugal, and more recently at the NOVA Business School library, and has
been a Wikimedian since 2013, and has recently been involved, together with
Catarina Reis, in getting bibliographic information from NOVA researchers
into Wikidata (https://scholia.toolforge.org/organization/Q1979891). He is
also the main organizer of our upcoming WikiData Days Conference to be held
in Lisbon in 2021 (https://wikidatadays.wikimedia.pt/).

[Wikimedia-l] Belated update from Wikimedia Portugal

Dear all,

This message was supposed to be sent sometime ago, but might still be
relevant for those that like closure.

Wikimedia Portugal has signed a new chapter agreement with the Wikimedia
Foundation in January, and this has been ratified by our XII General
Assembly in April.

In this same General Assembly, we have also made some changes to the our
internal regulations (https://pt.wikimedia.org/wiki/Regulamento_Interno/2019)
to prevent future challenges as the ones that led to the issues last year.
This changes include making explicit the option for associates to receive
notices for General Assemblies by email and allowing General Assemblies to
be conducted via videoconference as well as in-person. We have also
clarified our disciplinary procedures.

But more currently, we have announced today, together with Wikimedia Spain,
the winners of Wiki Loves Earth 2019 in Portugal and Spain. See:

WMF agreed to extend our current chapter agreement for a couple of months
so that we have more time to go over the details and ask questions, and
discuss it with the membership of the chapter.

   past activities include GLAM partnerships, photo contests, and conferences
   not in “WikiCon” style. By following the link for the Trademark policy, it
   is not clear if these activities are included in the definition of outreach
   or if section 4 of the Trademark policy apply. This could mean that these
   activities need a bureaucratic procedure defined as a permission in
   writing (by physical mail or by an email to tradema...@wikimedia.org) to
   use the Wikimedia Marks outside the scope of this License (“ Additional Use
   ”). Each such request must include: (1) reference to this agreement; (2)
   attached samples of the proposed use; and (3) the date(s) and scope of the
   proposed use. Bureaucratic procedures increase enormously from the
   current situation, without giving any apparent advantage over non-affiliate
   community members;

[Wikimedia-l] Flash fundraiser for Wikimedia Portugal

Dear all,

As you may know, AffCom and the Wikimedia Foundation has decided to extend
the suspension of Wikimedia Portugal, while waiting for legal counsel for
our case. This has put our programmatic activities in jeopardy, as we have
been barred from applying to funding from WMF while the suspension is in
effect.

We have therefore started an emergency fundraiser campaign [1] to raise
500€ by the end of this week, in order to salvage as much of the activities
as we can. Even if we only raise a third of this goal will allow us to, for
example, participate at a conference we have helped organize [2] and
present a workshop at the National Library of Portugal [3]. If we reach our
goal in full, it will allow us a bit of air to organize events in the first
trimester of 2019, while we wait for a final decision from AffCom.

Hi Illario,

Apologies, I probably explained myself poorly. I never said that a chapter
is a representative of the Wikimedia community, rather I was trying to
explain that João’s claimed experience (emphasis on claimed) in management
and conflict resolution was a major factor in him being elected to the
Board. At the time, WMPT thought that that could be very valuable to the
chapter. So, we agree, a heterogeneous board is absolutely an advantage,
but in this case the issue was not one of diversity, but rather of
competence and alignment to the movement goals and principles.

In practice, he did not contribute to the management of the chapter, and he
was not prepared to an increase of the chapter activities. He very quickly
started demonstrating uneasiness with any procedural decision he did not
personally vet (which are imperative in volunteer-based, collaborative
projects), and soon after, without any previous warning, started sending
legal threats going as far as using a lawyer to intimidate one of our most
active members on behalf of WMPT (without discussing it with anyone
beforehand), and resigned.

We have no intention to expose João even more in this public mailing list,
so we will not provide a comprehensive list of the problems we found with
his term on the board. But to make it clear, when this whole issue began to
be addressed, even though we did not ask him to stay on the Board, we did
invite him to continue on the chapter, working with us, as AffCom can
confirm. Just not in any role with legal responsibilities.

Portugal has done all it was asked to do, so the suspension that was held

Last 5th October we were again surprised by the content of your email
(quoted below) in response to us completing the roadmap we had agreed upon
in order to remove the suspension of Wikimedia Portugal. On that message,
you say you have once more received information whose substantiation is not
mentioned, from sources that are not disclosed. And still you seem to
accept it as the truth without even providing us with the opportunity to
get properly acquainted with it, let alone rebate or contradict it. While
you speak of transparency, that message is unsettlingly opaque, as have
been multiple such messages relayed to us in the course of this whole
process.

As you are well aware, Wikimedia Portugal was faced in March with a
situation where the president of the Board, João Vasconcelos, became
demissionary without any previous warning [1]. It should be noted that when
Vasconcelos was elected as president of the Board back in 2015, he wasn’t
elected based on any background as a Wikimedia editor, as he has no history
of contribution to any of the Wikimedia projects, but rather on his self
proclaimed merits on organisational and conflict management (!). Despite
the best efforts of several people from Wikimedia Portugal over the years,
Vasconcelos sadly never really integrated well neither on Wikimedia
Portugal, nor in the Portuguese Wikimedia community.

So, in light of what looked like an existential threat for WMPT, I and a
number of other WMPT members have publicly and transparently mobilized
ourselves to organize an extraordinary General Election to elect the new
Board. Vasconcelos was probably expecting/hoping that we would ask him to
stay. But we have seen this sort of behavior elsewhere [a].We didn't.
Instead, we handled the situation cooperatively, as a group, openly.
Vasconcelos never voiced any desire to take part on this collective
solution-building, as evidenced by his silence from the discussion on the
Wikimedia Portugal mailing list in March [2] and April [3]. He was welcome
to do so. His only message to the mailing list was two days (13 April)
before the 15 April General Assembly, announcing that he considered the
planned General Assembly null [4]. Given the lack of legal standing for
that claim, we carried on with the General Assembly (the transparent,
inclusive, democratic governing body of associations), summoned according
to our by-laws. This General Assembly successfully elected new governing
bodies, including the Board of Directors.

In May we were surprised by a message from AffCom demanding that we stop
taking part in a conflict, and "refrain from representing ourselves as
representatives of Wikimedia Portugal" (see quoted message in [5]
).This
was the very first time the Committee contacted Wikimedia Portugal about
this case. The message provided no legal precedent or framework for this
demand, no indication of what this conflict was, or why AffCom thought the
Board was a part of it.

From what we understood, Vasconcelos went to the Wikimedia Conference in
Berlin, where he seems to have convinced AffCom that our General Assembly
of 15 April was legally void.

We have repeatedly provided concrete evidence that t it was not the case,
including quoting relevant court decisions backing this [6]
.
In response, AffCom reported having no time to read through legal texts,
and therefore not being able to assess the validity of our declarations,
but that is beyond our control. And yet AffCom accepted Vasconcelos’
version without question. It is a legal imperative to be held innocent
until proven guilty, and until it is legally proven there was some
wrongdoing, General Assemblies are valid and binding.

After the April General Assembly we were working, in addition to our
activities and programs, to put the association in order in terms of
obligations to the Portuguese state and the tax authorities, providing
access to WMPT’s bank account to the persons designated on the 15 April GA,
and so on. Things were getting on track...

We were surprised again in July by a message from AffCom temporarily

Just to clarify this point, whenever the board of WMPT (which consists of
me, André and Ana [before Béria]) was unable to comply due to legal or
logistic reasons we have clearly informed AffCom, and we did not ever
failed to comply with your requests, even if we did not like them or felt
they were uncalled for.

We have limitations that we are aware of, and have no problem admiting to
them. But we have shown nothing but good faith throughout this process.

I also think that AffCom is acting of good faith, just so I am not
misinterpreted, and I understand why they have tried to remain neutral in
what, to them, seemed like an internal struggle for power.

For me it was nothing of that sort, but the board of WMPT is not interested
at this time to keep revisiting these issues, and once we have fulfilled
the last step, which is to present a plan for capacity building (currently
in draft at https://pt.wikimedia.org/wiki/Plano_de_capacitação_2018), we

[Wikimedia-l] Wikimedia Portugal General Assembly

Dear all,

As part of the roadmap AffCom agreed with us after they decided to suspend
some of our benefits within the Wikimedia Foundation programs
(https://lists.wikimedia.org/mailman/private/wikimediapt/2018-July/002625.html
),
Wikimedia Portugal held an Extraordinary General Assembly on the 1st of
September, and a board was elected. This board is identical, with one
exception, to the board elected in April of this year and that I announced
in a similar message (
https://lists.wikimedia.org/pipermail/wikimedia-l/2018-April/090073.html).

The board is now composed of:

   Gonçalo Themudo, president
   -

   André Barbosa, treasurer
   -

   Ana Cravo, secretary


We also elected members for the other governing bodies of the chapter:

The general assembly also approved the financial statement of our annual

We are currently working on the final step of the roadmap, which is a plan
for active contributor involvement and improved chapter capacity. The first
part is to gather signatures of at least 20 chapter members who are active
contributors to Wikimedia projects, which is currently underway at
https://pt.wikimedia.org/wiki/Utilizador:GoEThe/P%C3%A1gina_de_apoio_%C3%A0_Wikimedia_Portugal.
We will keep you informed of the second part, once we have developed it.

Hi,

We are also getting a couple of inquiries at the Facebook page of Wikimedia
Portugal.
There is no affiliate in Angola, and the Wikipedia facebook page that Lucas
Teles mentioned is focused on language rather than region, and has a
significant proportion of followers from Angola and Mozambique.

It would be nice to have a (Portuguese) text that we can refer users to in
case of further inquiries. I would be happy to provide translation (maybe
Lucas can help there as well). Perhaps that blog post from Frebuary would
be good enough.
