Dear All,

There is one last bit of news I would like to share following the Board
meeting update.

After ~ 8 years on the Board of Trustees at the Wikimedia Foundation - a
long time! - I have notified the Board that I am stepping down as Chair and
trustee, effective end of day today.

As all of you know, the community-selected seats were due to expire last
year and were extended at the request of the Board to see through these
difficult and unprecedented times. Now, after chairing the last meeting of
the fiscal year and having the call for candidates for the upcoming
elections approved, it is the least disruptive moment for me to step down.
The Foundation has asked me to consider an advisory role to support
Movement Strategy and the onboarding of new trustees and the new CEO/ED, to
help support leadership and this strategic transition. Nataliia Tymkiv,
currently Vice Chair, will act as Chair until a new one is elected by the
Board ensuring continuity.

Hopefully this news will not come as too much of a surprise. I am grateful
to the community members who lent me their trust and support to become a
trustee on two different occasions, to the staff, and to the trustees for
their confidence in me in the different leadership positions I have held
within the Board - first as committee chair, then two terms as Vice Chair,
and two terms as Chair.

Together we have accomplished many things during this time, but if I had to
single out only a few they would be the following: launching the Movement
Strategy process, engaging in the most ambitious governance reform in the
history of the Board, and working to ensure the stability and
sustainability of the Foundation. It has been a time of change, of
discussing strategy and our future, and deciding together what the path
forward should be.

Of course, the work is never finished - it will be the task of the Board to
continue what has been done and face the newer and complex challenges that
will no doubt arise. I hope that we will see many of the women of the
movement and people from the Global South as candidates in the upcoming
community elections - I know there are many qualified people ready to step
into these important roles. I look forward to supporting an increasingly
capable and diverse Board.

[Wikimedia-l] June WMF Board meeting update

Hi all,

On June 1st and 2nd, the Wikimedia Foundation Board of Trustees had our
regular meeting for Quarter 4 (April – June) of the Foundation’s fiscal
year. We will have more details about what transpired at the meeting once
the minutes have been prepared and approved, but we wanted to quickly
release this brief update on some key topics and decisions:

   - We have unanimously approved the Call for Candidates for the 2021
   selection process for Community-and Affiliate selected Trustees. There is a
   revised timeline that accommodates the implementation of single
   transferable vote in the SecurePoll extension, as follows:


   - June 9 - 29:  Call for candidates
   - June 30 - July 2:  Announcement of confirmed candidates
   - July 7 - August 3: Candidates campaign and answer questions
   - August 4 - 17: Voting
   - August 18 - 24: Vote counting and processing
   - August 25:  Announcement of vote results
   - August 25 - 31: Foundation vetting of selected candidates
   - September: Board appoints selected candidates

More information on the process will follow over the next few weeks.

   - We have unanimously approved a committee evolution plan to maintain
   and improve the Board’s effectiveness, to be implemented in stages.
   - We have unanimously approved the donation of $5 million in FY 2020-21
   to the Wikimedia Endowment.
   - We have reviewed the proposed Annual Plan for the Foundation for
   2021/22, and unanimously authorised the Audit Committee to approve minor
   adjustments to the 2021-22 fiscal year budget in response to Board input
   during the June meeting. More information on the Annual Plan will follow
   once the Audit Committee has met.
   - We also unanimously approved the minutes from the previous Board
   meeting, to be published on Foundation-Wiki.

Hello everyone,

Following up on Janeen’s email with some thoughts and additional
information.

Janeen has been a vital part of evolving several areas of the Foundation’s
operations during her two years with us. Her efforts to establish processes
that allow the Leadership Team and Board to more effectively measure the
work of each department is something I am especially appreciative of
because it has provided the Board, and observers of the reports on
Meta-Wiki, with even greater insight into the impact of the Foundation’s
incredibly hardworking and talented staff.

Additionally, Janeen has been an important and strategic advocate and
collaborator on critical thinking and action surrounding racial justice and
equity within the Foundation and movement. The Foundation is committed to
promoting and protecting a movement that supports and amplifies diverse
voices and ideas. Together, we must increase awareness about the gaps in
representation across our projects if we are to reach our goal of knowledge
equity and free knowledge for all.

Given we are now actively looking for our next CEO and ED, we will not be
backfilling the COO role, allowing a new Foundation leader the necessary
flexibility in thinking about our future organizational staffing needs. The
Foundation's Transition team - Amanda, Jaime, and Robyn - will continue to
provide day-to-day support and management of the Foundation's staff and
operations, working closely with the Board Transition Committee.

As we wish Janeen the best of luck for wherever her journey takes her next,
please join me in celebrating all that Janeen has accomplished here in the
relatively short time she has been with us. I appreciate the energetic,
enthusiastic, and passionate voice she brought to her work at the
Foundation, and her efforts to protect our staff and communities -
particularly those hit hardest during this past year.

Hi everyone,

As you can see, Katherine just said she will be stepping down from her
role. I am happy for Katherine, but it is impossible not to have some mixed
emotions given we have been working together for seven years, and quite
closely for almost five of them since she became the interim ED and I
became an officer of the Board. Almost half a decade of very intense
challenges and changes, of thinking about the future of the Movement and
how to best achieve our Mission. I am proud of our successes and yet we
have a ways to go. The work is never done, but we do strive to walk the
talk when we say we want to make the sum of human knowledge accessible to
everyone everywhere. As a Board, we thank Katherine for her leadership over
the last five years as CEO and ED, two years as CCO, and wish her the
greatest success in future endeavors. I have no doubt she will be brilliant
wherever she finally decides to go after her much deserved time to rest and
reflect, starting with her fellowship.

I would like to thank Katherine for an extraordinary job. As a leader, she
set a new standard for transparent, open engagement with our global
communities. She worked side by side with movement leaders with empathy and
collaborative participation in the wiki way. Thanks to her leadership we
created our Movement Strategy together. She walked the talk with resolve
and determination, and the Foundation and the Movement are in a better
place now than they’ve ever been.

Katherine and the Board have long had a plan in place in the case of a
succession. According to that plan, a Transition Committee of Wikimedia
Trustees has been selected to recommend to the Board Katherineʼs successor
and includes Trustees Dariusz Jemielniak, who is chair of HR Committee,
Tanya Capuano, who is chair of the Audit Committee, and Raju Narisetti,
along with me as Board Chair. The Wikimedia Foundation has retained
Viewcrest Advisors,[1] a leading search firm for nonprofit executives, to
assist the Board Transition Committee.

Until a new CEO is hired, the Board Transition Committee will work closely
with the Wikimedia Foundation executive Transition Team of General Counsel
Amanda Keton, Chief of Talent and Culture Robyn Arville, and Chief
Financial Officer Jaime Villagomez, ensuring the important work of the
Wikimedia Foundation in supporting Wikipedia and other Wikimedia
communities continues without any disruptions.

[Wikimedia-l] Board Ratification of Universal Code of Conduct

Hi everyone,

I’m pleased to announce that the Board of Trustees has unanimously approved
a Universal Code of Conduct for the Wikimedia projects and movement.[1]  A
Universal Code of Conduct was one of the final recommendations of the
Movement Strategy 2030 process - a multi-year, participatory community
effort to define the future of our movement. The final Universal Code of
Conduct seeks to address disparities in conduct policies across our
hundreds of projects and communities, by creating a binding minimum set of
standards for conduct on the Wikimedia projects that directly address many
of the challenges that contributors face.

The Board is deeply grateful to the communities who have grappled with
these challenging topics. Over the past six months, communities around the
world have participated in conversations and consultations to help build
this code collectively, including local discussions in 19 languages,
surveys, discussions on Meta, and policy drafting by a committee of
volunteers and staff. The document presented to us reflects a significant
investment of time and effort by many of you, and especially by the joint
staff/volunteer committee who created the base draft after reviewing input
collected from community outreach efforts. We also appreciate the
dedication of the Foundation, and its Trust & Safety policy team, in
getting us to this phase.

This was the first phase of our Universal Code of Conduct - from here, the
Trust & Safety team will begin consultations on how best to enforce this
code. In the coming weeks, they will follow-up with more instructions on
how you can participate in discussions around enforcing the new code. Over
the next few months, they will be facilitating consultation discussions in
many local languages, with our affiliates, and on Meta to support a new
volunteer/staff committee in drafting enforcement pathways. For more
information on the process, timeline, and how to participate in this next
phase, please review the Universal Code of Conduct page on Meta.[2]

The Universal Code of Conduct represents an essential step towards our
vision of a world in which all people can participate in the sum of all
knowledge. Together, we have built something extraordinary. Today, we
celebrate this milestone in making our movement a safer space for
contribution for all.

[Wikimedia-l] Resolution to pause Movement Brand Project through March 2021

 Hi everyone,

The Wikimedia Foundation Board of Trustees, following the recommendation of
staff, has resolved to pause the Movement Brand Project until the next
calendar year.[1] We recognize that much of the Wikimedia movement’s
activities, events, and key collaborations have been put on hold or
restructured due to the COVID-19 pandemic, and we have received formal
requests to pause Movement Brand Project activities to reflect this
need.[2]

The Board remains persuaded that there is potential value in making change
to our branding system in service of our goals of engaging more people in
our mission. However, we also know that change moves at the speed of trust.
We have asked staff to meaningfully engage with community concerns and
address the request for equitable decision-making within the process. We
also ask members of the community to use this pause to consider how equity
may ask us to let go of some aspects of our past, in order to create space
for what could be. Making these decisions together, with so many passionate
perspectives, will be challenging, but building this capacity is essential
for how we grow together as a thriving global movement.

In the meantime, we will establish a small ad-hoc Board committee to liaise
with staff, and develop a process of collaboration and decision-making
appropriate for the Movement’s brand. This committee will constitute
Trustees James Heilman, Raju Narisetti, and Shani Evenstein Sigalov. We
hope and intend for this committee to include a small number of community
representatives from affiliates, open letter signatories, and emerging
communities, and Foundation staff to be designated by the Executive
Director. We’ll update you with more details on the committee soon.

In 2021, using insights and recommendations gleaned through the ad-hoc
committee, the Brand Project team will restart collaboration and
communicate next steps accordingly. This resolution was ratified on
September 24, 2020.

[Wikimedia-l] Trust and safety on Wikimedia projects

protect the projects from disinformation and bad actors, and promote trust
in our projects.

Specifically, the Foundation shall:

* Develop and introduce a universal code of conduct (UCoC) that will be a
binding minimum set of standards across all Wikimedia projects.

** The first phase, covering policies for in-person and virtual events,
technical spaces, and all Wikimedia projects and wikis, and developed in
collaboration with the international Wikimedia communities, will be
presented to the Board for ratification by August 30, 2020.

** The second phase, outlining clear enforcement pathways, and refined with
broad input from the Wikimedia communities, will be presented to the Board
for ratification by the end of 2020;

* Take actions to ban, sanction, or otherwise limit the access of Wikimedia
movement participants who do not comply with these policies and the Terms
of Use;

* Work with community functionaries to create and refine a retroactive
review process for cases brought by involved parties, excluding those cases
which pose legal or other severe risks; and

* Significantly increase support for and collaboration with community
functionaries primarily enforcing such compliance in a way that prioritizes
the personal safety of these functionaries.

Until such directives are implemented, the Board instructs the Foundation
to adopt and implement policies for reducing harassment and toxicity on our
projects and minimizing legal risks for the movement, in collaboration with
communities whenever practicable. Until these two phases of the UCoC are
complete and operational an interim review process involving community
functionaries will be in effect. In this interim period, the Product
Committee of the Board of Trustees will also advise the Trust & Safety team.

To that end, the Board further directs the Foundation, in collaboration
with the communities, to make additional investments in Trust & Safety
capacity, including but not limited to: development of tools needed to
assist our volunteers and staff, research to support data-informed
decisions, development of clear metrics to measure success, development of
training tools and materials (including building communities’ capacities
around harassment awareness and conflict resolution), and consultations
with international experts on harassment, community health and children’s

Hi everyone,

I have some news to share about recent leadership appointments to our Board
of Trustees.

Shani Evenstein Sigalov, currently an EdTech Innovation Strategist and
lecturer at the School of Medicine in Tel Aviv University, will be the
newest member of the Board of Trustees.


Shani has been a part of the Wikimedia movement since 2011, and has focused
her contributions on closing gender and knowledge gaps by supporting female
contributors and thematic groups, working with indigenous communities and
promoting equitable access to knowledge. She has served leadership roles in
several Wikimedia affiliates and thematic groups, including as the
Chairperson for both Wikimedia Medicine and the Wikipedia and Education
User Group, and as a Board member of Wikimedia Israel. She is also
currently a member of the Partnerships Strategy working group as part of
the Movement Strategy.  She joins the Board with a depth of experience in
creating successful collaborations between Wikipedia and other free
knowledge projects and educational, cultural and government institutions.

In addition, I have been re-elected as Board Chair, and Nataliia Tymkiv has
been elected as Vice Chair after being appointed for her second term.

Please join me in congratulating Shani and Nataliia! And as Christophe's
term comes to an end, the Board gratefully thanks him for his service and
commitment to the mission, and we hope you will join us in thanking him as
well!

I am happy to share that earlier this year, the Wikimedia Foundation Board
of Trustees approved our newest Wikimedia chapter - Wikimedia Korea!

I want to congratulate the new chapter and recognize their commitment,
efforts, and time involved in moving through the chapter recognition
process over the past year. From their work building partnerships with

look forward to seeing the impactful work from our community members in
South Korea as they advance in their new affiliate role.

As many of you know, this is our first chapter approval in several years -
since the newest Wikimedia affiliate approval processes were put in place.
This marks a new moment in the history of our Wikimedia movement
affiliates. The Board appreciates the amazing work coming from these user
groups around the world, and is inspired to see how far some of these
groups have come in terms of their impact both on our movement and their
local communities. Indeed, we should all be proud of the impact our
affiliates continue to have on our projects, our vision, and the world
around us.

Any affiliate interested in becoming a chapter or thematic organization
must have at least two years of activities and experience as a user group

[Wikimedia-l] Katherine Maher is now CEO and ED of the Wikimedia Foundation

Dear all,

When the Wikimedia Foundation was first established, the head of the
organization was assigned the title of Executive Director (ED). In the US,
this is the standard title for non-profit leaders, and made sense for the
organization at the time.

This week, at our Board meeting, we made a decision to change to this
convention. We resolved to change Katherine Maher’s title to Chief
Executive Officer (CEO) and Executive Director. She retains the title of
Executive Director, and is also now the CEO of the Foundation. She can use
either, or both, titles to describe her position.

This was an easy decision to make, for a number of reasons.

As our movement has grown in the world, we’ve found that the title of ED is
not as easily understood outside the United States. As a Board with many
non-US people, many of us already used the term CEO to describe Katherine’s
responsibilities. While still an English-language term, it is a very common
term for many global organizations.

The CEO title is increasingly common in US non-profits as well, especially
larger ones. This is increasingly considered best practice, as a way to
communicate that the work of non-profit organizations is as serious,
complex, and worthy of respect as that of for-profit organizations. For
example, Creative Commons, one of our closest allies, uses the title of CEO.

As the Foundation already uses the convention of “chief officer” for the
leaders of its internal departments (Chief Financial Officer, Chief
Technology Officer), it also makes sense. An executive director would be
the most senior director, whereas a chief executive officer is the most
senior of the officers.

The Board’s Human Resources Committee recommended this change and reviewed
the details. As this is an update to Katherine’s title, and not a change in
her duties as an officer, it does not require an update to the Bylaws or a
wider consultation.

The Wikimedia Foundation’s Board of Trustees is very supportive of this
change, as we believe this title better reflects the scope of Katherine’s
duties over Executive Director alone. This will better support her work
with global partners and leaders around the world, helping to share our
vision and supporting the strategic direction of Wikimedia in new markets.
Katherine’s job is not changing in any other sense.

served consecutively does not change the fact that the community, including
affiliates, will continue to be able to determine every three years whether
or not to re-elect currently serving trustees or whether to elect new
candidates - just as is the case now.

*3. Reaffirm the Board’s commitment to diversity*

The Wikimedia movement is global, built on a vision of reaching every
single human being and working toward a strategic goal of knowledge equity
for all. The Board believes that it can best serve the Wikimedia Foundation
and the movement by reflecting a wide range of human experiences. We want
to underscore and codify this belief in the Bylaws by adding express
language affirming our commitment to diversity and inclusion of all voices,
throughout our communities - new, older and emerging.

[Wikimedia-l] Board of Trustees participation in the Movement Strategy Process

Dear Wikimedians,

In 2017, the Wikimedia movement began a collaborative process to define
what we want to build or achieve together by 2030. After eight months of
discussion, across languages, geographies, and contexts, the outcome
was a Strategic
Direction

focused on knowledge as a service and knowledge equity:

“By 2030, Wikimedia will become the essential infrastructure of the
ecosystem of free knowledge, and anyone who shares our vision will be able
to join us.[1]”

Now our task as a movement is to apply the Strategic Direction to our own
work. We need to answer questions that define our path forward: What kind
of structures are ideal for achieving our strategic direction? What
resources and capacities do we need to develop? How do we relate to each
other and make decisions as a movement? How do we manage change in a
healthy, sustainable way?

Over the next year, the Wikimedia movement will engage in a structured,
distributed process to answer these questions. The process will be
structured around Working Groups who will develop guidance in key Thematic
Areas.[2]

The Board of Trustees is committed to the Movement Strategy process and
each of us will join one of the Working Groups:

We will play two specific roles in this process:

   Individually, as members of the Working Groups

  participate mindfully in ourtheir individual capacity,
  2.

  bring our their content expertise and experience to the discussion,
  3.

  ensure the information flow from the Working Group to the Board,
  4.

  support an effective, and inclusive process.
  3.

   Collectively, as the Board of Trustees
   4.
  1.

  review recommendations from each Working Group and provide feedback,
  2.

  resolve difficult questions as required and adhere to decisions made,
  3.

  delegate approval of recommendations to an appropriate community
  mechanism whenever possible (such as endorsement or consensus),
  4.

  make decisions when there is no other mechanism to make the decision,
  5.

  accept the recommendations that are consistent with the movement’s
  values, the Strategic Direction as well as law and other compliance
  requirements,
  6.

  direct resources, budgets and capacities for the implementation of
  approved recommendations.


This statement captures the perspective of the Board of Trustees, and we
believe that the process is a unique opportunity for the movement to build
and shape our future together. We will participate in strategy
conversations and sessions at Wikimania[3], and look forward to
contributing throughout the process together with many of you. We encourage
those who are attending Wikimania to also join these conversations and all
Wikimedians to participate in all the upcoming strategic conversations and
consultations.

[Wikimedia-l] [Announcement] Wikimedia Foundation Board of Trustees Statement Opposing the EU Copyright Package

The Board of Trustees of the Wikimedia Foundation, which operates
Wikipedia, the world’s largest online repository of free knowledge, believe
that the European Union’s proposed copyright directive is a threat to
essential human freedoms. If passed, it would limit free expression, and
cause serious harm to collaboration and diversity online.

Over the last few months, the Wikimedia Foundation has been watching
developments around new proposed copyright laws in Europe very closely.

On June 20, the Legal Affairs Committee of the European Parliament voted to
support proposed copyright laws that, if enacted, will significantly limit
the openness of the internet, diminishing the ability of people around the
globe to access knowledge, while stifling innovation and imposing what we
believe will be unreasonable costs on new or smaller websites. We expressed
our opposition to these proposals at the time, and the Wikimedia Foundation
-- along with many in the Wikimedia movement—advocated against them. We now
do so again as we approach July 5th, which will be another critical moment
in the legislative process as the issue comes up for a vote once again.

The Wikimedia Foundation and its projects exist to harness the power of a
free and open web to make knowledge more accessible for everyone. Our
mission to create a world where everyone can share in the sum of human
knowledge requires a web in which all people can freely collaborate to
create and access knowledge.

This flawed EU copyright proposal contradicts that vision.

Instead of truly modernizing copyright for Europe and promoting everyone's
participation in information society, the proposal threatens freedom online
and creates new obstacles to access by imposing new barriers, filters, and
restrictions.

We are committed to remaining a strong advocate and partner for enabling
society’s ability to share and curate knowledge in free and open spaces.

Now is the time to stand up for the free and open internet.

Today we, as Trustees of the Wikimedia Foundation, *unanimously and
strongly*, urge the European Parliament and Council *to oppose* the
proposed directive in its current version and stand on the side of the

Welcome Esra'a! I look forward to working with you. :)

Mike, as Cristian says - the Wikimedia movement has a history of trying to
balance the safety concerns of volunteers in not-so-free regions (to put it
mildly...) with having them contribute to our projects and events. We
*need* these contributions, these voices - but we can sometimes be
hard-pressed to understand the challenges associated. Esra'a is not
requesting "security by obscurity" - she already has had ample media
coverage and recognition, as can be read in the announcement. She has even
attended and given a (wonderful) keynote at Wikimania a few months ago. We
*can* successfully figure out together how to balance having her voice
present while respecting her safety needs.

Again, thank you Esra'a for your willingness to take up the challenge of
serving on the WMF Board!

Sorry, but I have to disagree, Mike.

Openness - as generally understood in Wikimedia - does not conflict with
respecting someone's privacy, much less so with not endangering their
safety. I believe that respecting the privacy and anonymity of our
editors (and readers, as well) is a value of Wikimedia.

Furthermore, I feel that Wikimedians value very highly their privacy and
anonimity, in fact, there are several Wikipedians with whom I have
edited pages for years now, and I still have no idea of their real
names, their age, their gender or where they live. All I know is their
nicknames on the projects and it's perfectly fine like that. There are
several rules that the communities have adopted to protect the privacy
and anonymity of every user.

Even at in-person events, there are usually ways to signal the fact that
one does not want to be photographed or have photos or recordings of
him/her, put online. You can also wear a badge with just your nickname
and not your real name, so that's not new even for our live events.

I agree with the idea that occupying a high-profile position and trying
to limit one's own exposure are conflicting goals, but I am sure that
this was very carefully.

So, I understand that this may seem different from the usual, but,
actually, it is not.

We would like to specifically address the allegations related to harassment
in this thread’s original email. We take all allegations of harassment
seriously. Earlier this year, the Board of Trustees was informed that
allegations of harassment had been made against the Wikimedia Foundation
Board Chair dating back to his time as chair of Wikimédia France. We
immediately directed the Foundation to investigate. The Foundation employed
independent, external experts and conducted an investigation. Based on the
information presented, the investigation found no support for the
allegations. That conclusion was conveyed to the Wikimedia Foundation Board
as well as the chair of Wikimédia France.

The Wikimedia Foundation remains committed to independent investigation if
presented with new information. Absent such information, we consider the
allegations to be without merit.

Since early 2015, the Wikimedia Foundation has been evaluating efforts
and engaging in discussions related to the environmental impact of the
movement, and specifically the Foundation. During that time, we
supported improvements to our on-wiki documentation,[1] talked with
members of the community, and began reviewing internal processes.

The Wikimedia Foundation is committed to finding ways to reduce the
impact of our activities on the environment. We aim to always act as
responsibly and sustainably as possible, including favoring renewable
energy where it is available for our operations.

To help clarify and solidify our intentions in this important matter,
the Board of Trustees has passed an environmental impact
resolution.[2] This resolution commits the Wikimedia Foundation to:

1.  Seek out information about our overall impact on the environment
and then work to minimize it;

2.  Consider sustainability as an important part of decisions around
servers, operations, travel, offices, and other procurement;

3. Use green energy where it is available and a prudent use of resources;
and

4. Starting in 2018, include an environmental impact statement in our
annual plan.

We appreciate the input of the nearly 200 Wikimedians that have
already spoken to this in on Meta-Wiki,[1] and hope that you will join
future efforts to minimize any negative impacts on the environment.

We'd like to draw your attention to our recent amendment of the 2009 
Biographies of Living People resolution. We have amended that resolution to 
refer to both text and media when considering articles or images of living 
people:
