Power of Federal Government to Create Corporations
It is well settled that Congress can create corporations in
order to addequately and properly carry out any of the powers
conferred upon the national government by the Federal Constitution.
Thus, in controlling interstate commerce, for example, control over
which is vested in Congress, the creation of one or more corporations
may become necessary. As a means to the attainment of this object,
Congress may create, and has created, federal corporations. It can,
in other words, create a corporation as a means, though perhaps not
as an end. In the early days of the Republic, the power of
Congress to create coprorations was bitterly assailed. The
Constitution neither expressly authorizes nor forbids it. The strict
constructionists insisted that since the federal government was one
of limited powers, and this power had not been conferred, it was not
possessed. Jefferson, for instance, took this view. On the other
hand, Hamilton, Marshall, and the school of liberal construction
contended, first,that the creation of corporations was a necessary
attribute of sovereignty, and secondly, that the creation of
corporations was necessarialy incidental to its express powers, the
right to authorize any corporation which it may deem reasonably
necessary in order to carry out suitably its vested powers. The
quarrel during Washington's administration over the right of Congress
to create a National Bank was the first act in the drama which
culminated in the famous decision of the Supreme Court of the United
States, in McCulloch v. Maryland, uupholding this privilege. An early
example of its exercise was the creation of a corportion for the
construction of the canal at Panama. It is likely that the number,
variety and importance of federal corporations will increase rather
than diminish.

powers as its vested power. It doesn't come right out and say it but
I guess this is the why the F.B.I. and C.I.A. and so forth have been
created. IN the federal codes. The C.I.A. is coded a 10 million
dollar corporation. I believe that's correct dont quote me its been a
while since I read them.
