Sorry, I was wrong. Problem occured only with start transmission
I'v solved my problem. I used ppa:mathieu-tl/nm and update network manager from
0.9.4.0-0ubuntu4.1 to 0.9.4.0-0ubuntu4.2.

Yesterday I changed my internet provider. And I saw the same problem.
Before I used PPPoE connection and i didn't have this problem. Now I use
simple wired connection and Network Manager load CPU when I use
internet, not only P2P.

I have the exact same problem! I killed nm-applet and NetworkManager to bring
my CPU usage back down.
This was clearly due to Transmission, because I never had this problem until I
started seeding a torrent with Transmission.

Just upgraded yesterday from 10.04LTS to 12.04 using XFCE. Have
experienced an identical problem : as soon as Transmission is started,
network-manager starts running the CPU at over 60%. Without
Transmission, I've noticed no such problem.
