Hi, i solve this problem stoping netwok-manager service, disabling the
network inreface, then changing the mac, enabling the interface and
finally restarting the network-manager service
Here the step by step
service network-manager stop
ifconfig $1 down
ifconfig $1 hw ether $2 up
service network-
Same probleme here with 12.04
The proposed workaround with the promiscuous mode does not help.

Had the same impossibility to connect with a changed mac-address.
Found that putting the card in promiscuous mode is a workaround.
I hope this can help to point out the issue. (I do not like the idea of
permanent promiscuous mode).

On further inspection I changed the security of the network to Open. No
filtering of any kind.
It hung for a minute but ended up connecting with a spoofed mac.
In dmesg there is this instead of the deauth reason 2, which is quite
odd: [ 91.553210] wlan0: deauthenticating from 00:1c:df:a2:b9:28

I'm hoping the dmesg was included with this bug report.
Connecting to a wireless network with my current configuration works
perfectly.
After changing my mac address, trying to connect back to the same
network results in it just sitting there looking like it
On further inspection a deauth for reason 2 is because something is
wrong with the encryption secret, I do not change the pass-phrase, only
the spoofed mac.
I'm continuing investigation.
