Your system might be elsewhere. Try looking at the value you pass to
kernel during boot-up (press ESC during GRUB session). Then check if
you actually have UUID for _actual_ root file system.
Root partition are the '/' on linux system
Somewhere i heard that initramfs problem is due to loosely connected
hardware in the computer. Did you check your RAM slot and others
properly?

The computer need to be shutdown properly. I too faced the problem.
Boot from xp and shutdown it properly and try to upgrade.
or do fresh installation after the 2nd step.
