I had the same problem; it turned out /mnt was not empty, although it seems
weird. When I removed a couple of directories existing under /mnt, beadm mount
worked fine.

How about this scenario though - I use the USB image to boot up
OpenSolaris, and make a real physical USB stick using that? Is it
viable? I am going through all this just to avoid scratched CDs ->
