I have run into this problem as well, but have had no luck tracking it down.
NT services DO work OK w/ Apache 1.3.6 and mod_perl 1.21 - but then you don't
get the nice improvements to the service registration that were added to
Apache 1.3.9 (different service names, etc.)

I am having an interesting problem with the latest version of Apache
(1.3.9) and mod_perl (1.21) on the windows platform.
When I install it as a service under NT, Apache starts eating all my
memory and the children keep dying. When started from the console all
is fine.
