If you have outstanding debts then you are best to talk with a good lawyer who can direct you (in a controlled manner) down the liquidation path. These guys are all sharks so it is much better to use a lawyer who is a specialist here. This is particularly important if you owe the ATO money.
If you have no outstanding debts then you can apply to deregister the company - this is pretty straight forward. Your initial investment would be a personal capital loss and can be used the next time you strike it lucky with a capital gain.
