BG Technologies USA, Inc. ("BGT") and Rotary Power International, Inc.
("RPI") are pleased to submit this proposal to develop and to test a small
modular power system that will use biomass waste for fuel.  BGT/RPI believe
that this proposal to build and test this system will prove the technical
and economic viability of producing electrical energy using biomass waste
materials in a small modular power system.  BGT/RPI also believe that this
system can be brought to market very quickly since the equipment to be used
is an adaptation of already proven system technology.  As a result, this
will prove to be a very cost-effective and environmentally sound method of
providing electrical energy using biomass waste.

BGT/RPI propose to build, test and evaluate a commercial prototype 400-kW
modular biomass gasifier with a rotary engine power system that is based on
the integration of well-developed components.  Once fully tested and
evaluated, the commercial prototype will be placed into a commercial
demonstration setting and serve as a reference system for follow-on
commercial sales of the BGT/RPI Power System.

The BGT/RPI System will integrate a proven BGT-System biomass gasifier from
BGT with a fully developed rotary engine from RPI.  The RPI Series 580
engine has been operated on a variety of fuels including propane, gasoline,
kerosene, diesel and natural gas and successful tests (with the stratified
charge engine) were performed with methanol.  Its operating characteristics
are well suited to operation on "producer gas" or fuels derived from biomass
delivered by the BGT-System gasifier.  The proven capabilities of the
equipment will allow for integration of the engine to the gasifier.

The proposed prototype system will include automated biomass handling to
deliver electricity.  System performance, operating and maintenance
requirements and system emissions will be measured and assessed against the
requirements for commercial viability.
