Workaround :
$ gsettings set com.canonical.desktop.interface scrollbar-mode normal
It seems odd but this worked for me

under gnome-panel (flashback session), background is transparent and the
window cannot be resized with the mouse. when the window border is
clicked, the window context menu appears instead.

The problem is something to do with the ambience GTK+ theme. If you use
this very tool to switch to Adwaita for example, it'll work fine (but
also make everything butt ugly :))
