Confirming. Same issue when upgrading xubuntu Feisty -> Gutsy. Stoping
acpid (as suggested in comment 6) solved the problem.

I solved it uninstalling acpid and reistalling it manually from the
package..!

Stopping acpid didn't work for me..
can you explain me how to compile it, as you did?

I solved it by stopping acpi daemon:
sudo /etc/init.d/acpid stop
sudo dpkg --configure -a
sudo /etc/init.d/acpid start
