Not a GDebi issue, packaging has to be adjusted to be compatible with
the one provided by Ubuntu repository,

No, from Ubuntu Software Center I could not Install it too after
uninstalling manually virtualbox-3.1 :(
In Software Center, when I clicked "Insarll" button for virtualbox-3.2,
I had an error message about unauthorized VirtualBox Repository ( in
Launchpad and other webistes where error reports abo
Since you are using VirtualBox's repository, you should just be able to
install virtualbox-3.2 from within Software Center or Synaptic Package
Manager. Using repositories is generally better than trying to install
deb packages directly.
