i upgraded as you suggested to 2.6.33 kernel and mesa-dri-drivers 7.8
rebooted and the problem is gone
i added the packages installed on my machine cause installed some other
stuff as updates from ppa and dependencies.

a. first of all you were 100% write - stopping Kwin compositing did stop
the porblem, though i didn't find a specific desktop effect causing it
directly... i tried removing them one by one.
b. thank you for your assistance, i'll be sure to install the new kernel
& mesa-dri version (may
as you can see ... the kdm.log is free from errors ... any other ideas?

last night i was to tiered to pay attention to what i was doing ... so
here's all of it
1. Xorg.0.log + Xorg.0.log.old - from before and after a crash.
2. dmesg from after recovery
3. lspci + lspci -vvnn
