well i didnt have ip_conntrack_ftp... did insmod after reading ur mail...
however, i had ip_nat_ftp loaded but it said unused... any clues???

Most likely because the console ftp client defaults to passive mode.
Do you have FTP connection tracking enabled?
modprobe ip_conntrack_ftp
modprobe ip_nat_ftp
