If you got an upgrade to a higher verion, then you can't part with the licence. It's that which is more protected. If the software runs off the disk without one, then it's effectively included. So you can't legally sell them. I don't know if Adobe etc actually keep track of which registration codes have been 'traded in' for a lower-price upgrade - but they could.
