The upgrade is pretty smooth. You can run in SQL 2000 compatibility mode if you are uncertain about some things.
Things to watch out for: 1. Using *= syntax for OUTER JOINs is not allowed 2. Our site was substantially slower when we moved to 2005, until we redid many of the indexes. 3. DTS packages can be run as they are in a legacy mode, but they should eventually be converted to SSIS. SQL Server 2005 is fantastic.
