I had the same trouble a while ago. The answer I was given here by Kees Nuyt was:

C:\sqlite3\sqlite3.exe C:\sqlite3\DBName.sq3 where "C:\sqlite3\DBName.sq3"
is the full pathname of the database file. If you don't quote the whole pathname and the current directory is not the right one, you create a new database in the current directory - probably C:\.
