Thanks for the replies. It appears that if I waited long enough, and it was a 
long wait, the server would shut down. I'll remote in and give it a thorough 
virus scan with something other than AVG.

You may also have a service that is misbehaving and not shutting down
when requested. Many of these services are not started in safemode and
that can also explain the shutdown behavior. I agree with Tom though,
that a thorough virus scan might be in order.
