This usually happens when users or processes are still running. We used to perform a MASTER OFF ALL before shutting down Universe via the 'stop' script and this would help most of the time.
We are also running on RHEL 3 and I guess there is a bug there. MASTER OFF ALL does not work on RHEL. It used to work on our DG/UX system. What we eventually did was to write our own version of MASTER OFF ALL. It just parses the output of PORT.STATUS and does 'LO' for each process running. This helps with shut down. However, there are always those 'defunct' processes that will get you now and then.
